GENERAL INFORMATION RE FORMATION OF CALIFORNIA CORPORATIONS

The formation and operation of California Corporations is governed by the California Corporations Code.
 

Steps in the creation of a California corporation include:
  • finding an available name for the corporation
  • preparation and filing of "Articles Of Incorporation"
  • praparing stock certificates
  • preparation of minutes of the first meeting of incorporators
  • preparation of Bylaws for the corporation
  • first meeting of the incorporators
  • filing of informational statement required by Corp. Code 1502
  • filing "Subchapter S" election
  • obtaining Federal employer ID number
Once the corporation is formed, it is essential that certain filings be made on a regular basis and that certain formalities in the operation of the corporate business be strictly observed.
 
When properly formed and maintained, a corporation may provide a measure of protection against personal liability for corporate acts and may provide certain tax advantages to the icorporators.

ATTORNEY ASSISTED

We complete the basic papers for you, order your "corporate kit", and provide you with basic instructions as to how to file and serve them, and give you up to one hour of attorney time to help you through the process. You will be responsible for payment of fees to the Secretary Of State [about $900], and the cost of your "corporate kit" [about $150].
FULL REPRESENTATION

We act as your attorneys in all matters associated with the formation of your corporation and preside over the first meeting of the directors.
